ANNUAL GENERAL MEETING
The 27th Annual General Meeting will be part of the event’s program which will also include award presentations, networking, refreshments, and other exciting tidbits. For registered voting members it is important that you be in attendance as a registered voting member since you will vote on a number of resolutions. For this meeting to occur, a quorum is required, so please make every effort to attend.
The following material will be provided here in downloadable format to prepare you for this meeting, please read the association’s Annual General Meeting Information Kit that includes the following:
AMMENDMENTS TO BY-LAWS AND CONSTITUTION
The Societies Act (the "Act") is new legislation that was passed in spring 2015 and will come into effect on November 28, 2016. The Act will replace the current legislation governing our Society. Amendments to the DVBIA By-laws and Constitution were previously proposed.
Amendments to the Constitution are no longer required to be considered at this Annual General Meeting as the required amendments to the Constitution will be effected on transition. The amendments to the DVBIA By-laws will ensure that the Society is in compliance with both the Act and the BIA Grant Allocation By-laws as requested by the City of Vancouver in order for the Society to continue receiving grant monies. At this year's Annual General Meeting, voting members will be asked to vote on a special resolution to amend the DVBIA By-laws only.
"Be it resolved as a Special Resolution that the Constitution and By-laws of the Downtown Vancouver Business Improvement Association be amended as set out in Schedule A to this Resolution, in accordance with the requirements of the By-laws of the Association, the Vancouver Charter and the Society Act (B.C.)."
Please take a moment to review the proposed changes (key changes to By-law 15):
